Terms of Service

These Terms of Service govern the relationship between Aura Digital Ltd (hereinafter referred to as "the Provider") and clients using the company's services.

The Provider offers the following professional services:

  • Web development: Design, development, and maintenance of websites and web applications.
  • SEO optimization: Search engine optimization, including technical SEO, content strategy, and link building.
  • Digital marketing: Management of advertising campaigns, social media, and online presence.
  • Network infrastructure: Design, installation, and configuration of corporate networks, routers, switches, and wireless access points.
  • IT support: Technical support, system administration, and consulting.
  • Security systems (CCTV): Design, supply, installation, and configuration of video surveillance and security systems.
  • AI infrastructure: Consulting and solutions for artificial intelligence, GPU servers, and hosting.
  • Mobile applications: Development of mobile applications for iOS and Android.

3. Contract Formation

Contractual relations between the Provider and the client are considered established upon the occurrence of one of the following conditions:

  • Signing of a written contract for a specific service or project.
  • Written confirmation (including via email) of a proposal by the client.
  • Payment of an advance by the client.

4. Intellectual Property

All materials created by the Provider within the scope of a contracted project (including, but not limited to: source code, designs, graphics, text) remain the property of the Provider until full payment has been received.

Upon receipt of full agreed payment, all intellectual property rights in the created materials are transferred to the client, unless otherwise agreed in writing.

The Provider retains the right to use completed projects for portfolio and promotional purposes, unless the client has explicitly objected in writing.

5. Payment Terms

  • Specific payment terms are defined in the individual contract or proposal for each project.
  • The standard payment structure for projects includes a 50% advance payment upon commencement and 50% upon completion and delivery.
  • Invoices are issued in Bulgarian Lev (BGN) or Euro (EUR) as agreed.
  • The payment term for invoices is 14 calendar days from the date of issue, unless otherwise agreed.
  • In the event of late payment, the Provider reserves the right to charge statutory interest and/or suspend the provision of services.

6. Limitation of Liability

The Provider makes reasonable efforts to deliver quality services but shall not be liable for:

  • Indirect, incidental, or consequential damages, including lost profits, data loss, or business interruption.
  • Damages caused by the actions or omissions of third parties (hosting providers, internet service providers, etc.).
  • Force majeure events, including natural disasters, cyberattacks, legislative changes, or technical failures beyond the Provider's control.

The Provider's maximum aggregate liability under any given contract shall not exceed the total amount paid by the client for the relevant service.

7. Confidentiality

The Provider undertakes to maintain the confidentiality of all information received from the client in connection with the performance of services, including, but not limited to:

  • Business information and trade secrets.
  • Access credentials (passwords, accounts, API keys).
  • Personal data of the client and their users.

The obligation of confidentiality shall survive the termination of the contractual relationship indefinitely.

8. Termination

Either party may terminate the contractual relationship with 30 calendar days' written notice, unless otherwise agreed in the individual contract.

Upon termination, the client shall pay all outstanding amounts for work completed to date. The Provider shall deliver to the client all completed materials for which full payment has been received.

9. Warranty and Support

For web development and software projects, the Provider offers a 30-day warranty period after delivery, during which defects in the completed work are resolved at no additional charge.

For security systems and network equipment, warranty terms are determined by the respective equipment manufacturer and are specified in the acceptance protocol.

10. Governing Law and Disputes

These Terms of Service are governed by and construed in accordance with the laws of the Republic of Bulgaria.

Any disputes arising from or in connection with these terms that cannot be resolved through negotiation shall be referred to the competent court in Sofia, Bulgaria.

11. Changes to These Terms

The Provider reserves the right to update these Terms of Service. Changes take effect from the date of publication on this page. For existing contracts, changes shall apply only after explicit written notification to the client.
